  1. Hi Chris, I'm french, working in Luxembourg. I would like to establish my start-up in Malta for fiscal advantages but I would like to manage it during a few months from Luxembourg. Do I have to be in Malta after the establishement of the firm or can I manage the firm from Luxembourg and come sometimes in Malta for administrative obligations?     Hi Val,

    From an operational perspective, there is nothing to say you need to be in Malta. So this would be fine for the first few months. However, please bear in mind that usual tax laws for a company are based on where the effective management and control of that company is situated. If you are the director of the company and are situated in Luxembourg for a period of time and managing the company it would be deemed to be outside of Malta for that period of time.

  2. Hi, We currently have our EU company based in Cyprus and we would like to abandon this legal entity for another location where we don't require a local secretary and hence our interest in Malta. We wish for the Malta entity to be owned by our corporate entity based in Shanghai and the Malta company to have the 5 directors as employees.     Hello Tellis,

    In Malta it is a legal requirement to have a company secretary for a private company, however the company secretary can be of any nationality and does not have to be Maltese. In addition to this, the company secretary cannot be a corporate body and must be an individual.

    In order to advise on the process and likely costs, we would need more information with regards whether your intention is to incorporate a new company or whether your intention is to redomicile the Cypriot company to Malta.

  3. Hello Chris, I'm French and I already have 2 companies In France. But I'm starting a new one. I intend to create this company in Malta to have better tax conditions. The company is web based. We organise video contest for our customers. The winer gets a price paid by our customer and we bill our customer an organisation fee. Because of the summer I had a lot of troubles finding someone who will help me create the company In Malta. I'm so late on schedule that I am considering a creation in Ireland which will cost me around 800 euros and will take 5 days. Can you please tell me if you are willing to help me out and : - Is Malta a good place to run such a business - how much would it cost me if you create de company for me - what papers I should provide - How long it will take Best regards, Miren.     Hello Miren, thank you for your message.

    In order for a company to be set up in Malta, a number of customer due diligence requirements would need to be met and these are different depending on whether the ultimate owners are individuals or a body corporate. An individual would have to provide a number of items, which would include a true copy of a passport, original bank reference, verification of a permanent address, professional reference and a curriculum vitae. In the case of body corporate items required could include a certified copy of incorporation/registration document, an original certificate of good standing, an extract from the respective registry of companies or similar authority, a bank or professional reference and the latest copy of the financial statements. A company can be set up very quickly within 2 to 3 days if all the customer due diligence requirements are met.

    In general, Malta is a good jurisdiction for e-commerce businesses and trading activities and in general these types of entities are taxed at 35%. However, Malta operates a unique full imputation tax system, which allows for qualifying shareholders a possible 6/7th’s refund on the tax paid.
